Terms of Service
1. Service Provider Identification
In compliance with Spanish Law 34/2002 on Information Society Services and Electronic Commerce (LSSI-CE):

2. Purpose
These Terms govern the provision of professional cybersecurity, consulting, regulatory compliance, training and technical advisory services offered to companies, professionals and organisations.
Services include:
- National Security Framework (ENS) consulting.
- Security audits and gap analysis.
- Implementation of technical and organisational measures.
- Preparation of regulatory and technical documentation.
- Certification readiness support.
- ISO 27001, NIS2 and regulatory framework services.
- Cybersecurity and artificial intelligence training.
- AI agent implementation.
- Strategic information security advisory.
3. Nature of the Contractual Relationship
The engagement of services is formalised through a specific quote, proposal or offer, expressly accepted in writing or by electronic means.
These general Terms are supplemented by the specific conditions set out in each proposal. In the event of a conflict, the specific conditions shall prevail.
4. Obligations of Delbion
Delbion undertakes to:
- Deliver services with professional diligence.
- Adjust delivery to the agreed scope.
- Maintain the confidentiality of the Client's information.
- Assign qualified and experienced personnel.
- Report any relevant incidents during execution.
Delbion does not guarantee absolute results, automatic certifications or the granting of subsidies, as these depend on third-party decisions.
5. Obligations of the Client
The Client undertakes to:
- Provide truthful, complete and up-to-date information.
- Actively collaborate in the work.
- Designate valid contacts with decision-making authority.
- Meet the agreed payment deadlines.
- Implement recommended measures where appropriate.
6. Limitation of Liability
Delbion shall not be liable for:
- Breaches arising from incorrect information provided by the Client.
- Security failures or breaches caused by decisions of the Client or third parties.
- Audit or certification results issued by external bodies.
- Indirect damages, loss of profits or consequential economic losses.
Delbion's liability shall in any event be limited to the amount actually paid by the Client for the contracted service, except where mandatory legal provisions dictate otherwise.
7. Confidentiality
Both parties undertake to treat as confidential all technical, organisational, commercial or strategic information to which they gain access during the provision of services.
This obligation shall remain in force even after the contractual relationship has ended, for a minimum period of five years, unless a different legal obligation applies.
8. Personal Data Protection
The processing of personal data is governed by our Privacy Policy and applicable legislation (GDPR and LOPDGDD).
Where Delbion processes personal data on behalf of the Client, both parties shall formalise the corresponding data processing agreement.
9. Intellectual Property
All documents, reports, methodologies and materials produced by Delbion during the provision of services are owned by Delbion, unless expressly agreed otherwise.
The Client may use them solely for internal purposes. Reproduction, distribution or transfer to third parties without Delbion's prior authorisation is prohibited.
10. Duration and Termination
The duration of the services shall be as stated in the specific conditions or in the accepted quote.
Either party may terminate the contract for a material breach by the other party, upon prior written notice.
11. Amendments
Delbion reserves the right to amend these Terms to adapt to regulatory changes or the evolution of its services. Updated versions will be available on this website.
12. Governing Law and Jurisdiction
These Terms are governed by Spanish law.
For any dispute arising from the provision of services, the parties expressly submit to the Courts and Tribunals of the city of Barcelona, waiving any other jurisdiction that may apply.
